Terms of Service

1. Eligibility

You must be at least 16 years old and legally capable of entering into a binding contract to use the Service. If you use Numuv on behalf of an organization, you must be authorized to do so. We may refuse or terminate service to anyone at our sole discretion.

2. The account you create

You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at hello@numuv.app of any unauthorized use. Numuv is not liable for losses arising from your failure to safeguard your credentials. Each individual must have their own account; sharing credentials is prohibited.

3. Roles and features

Numuv is a multi-tenant platform serving five roles: Applicants, Recruiters, Staffing Organizations, Support Agents and Administrators. Features available to you depend on your role and on the plan and Mu Points balance of your organization. Numuv reserves the right to add, modify, or remove features at any time.

4. Mu Points (usage credits)

Mu Points ("MP") are Numuv's usage credits. Key rules:

• MP are purchased or granted at Numuv's prevailing rates and are consumed each time you invoke a paid AI action (matching, screening, evaluation, journey advancement, add-ons, etc.).
• MP are non-refundable and non-transferable, except where refunds are required by applicable law.
• MP have no cash value, cannot be redeemed for cash, and, unless expressly stated in a paid subscription, do not expire.
• Numuv may adjust MP pricing per action with reasonable notice; existing balances retain their nominal MP value.
• Attempting to obtain MP through fraud, chargeback abuse or exploiting bugs is a material breach.
• For jobs and features with automatic MP renewal (e.g., 15-day job renewal), you authorize Numuv to deduct the applicable amount from your wallet when due.

5. Job postings and screenings

Recruiters and staffing organizations that post jobs on Numuv (a) warrant they have the right to hire for the role and to describe it accurately; (b) will not post discriminatory, illegal or misleading listings; (c) will honour any minimum match percentage, job-fit threshold, and privacy commitments they set; and (d) accept that AI-generated matches, screening questions, evaluations and job-fit scores are decision support only. Final hiring decisions and their consequences remain the sole responsibility of the recruiter.

6. Content you submit

You retain ownership of resumes, cover letters, videos, recordings, reviews, feedback and other content you submit ("User Content"). You grant Numuv a worldwide, non-exclusive, royalty-free licence to host, cache, transmit, process, embed, generate derivative works from (e.g., embeddings, transcripts, redacted excerpts), and display your User Content strictly for the purpose of operating, improving and securing the Service and delivering it to the intended audience (recruiters, staffing orgs, support). This licence terminates when you delete the content or your account, except for backups, aggregated analytics and content already shared with counterparties.

7. AI-generated content

Some Service outputs (screening questions, evaluations, Jay coaching, moderated reviews, journey summaries) are generated by AI models routed via Numuv's LLM Router. AI outputs may be inaccurate, incomplete or biased. You must review AI outputs before relying on them for any decision that has legal, financial, employment or similar effect. Numuv makes no warranty that AI outputs are error-free, and you use them at your own risk.

8. Reviews and moderation

Reviews you leave about a recruiter, staffing organization or candidate must be truthful, based on personal experience, and free of defamation, harassment, hate speech, personal contact details of third parties, or interview-question leaks. Reviews pass through automated LLM moderation and a preview window before publication; Numuv reserves the right to reject, redact or remove any review that violates these Terms.

9. Acceptable Use

You will not, and will not permit any third party to:

• Scrape, crawl, spider, harvest, or systematically extract data from the Service other than via our documented APIs.
• Reverse-engineer, decompile, disassemble or attempt to derive source code except as expressly permitted by law.
• Circumvent any technical restriction, rate limit, quota, moderation or authentication mechanism.
• Impersonate any person or organization, or misrepresent your affiliation with any person or organization.
• Upload viruses, malware, worms, or any code designed to disrupt or damage the Service.
• Use the Service to spam candidates, send unsolicited marketing, or collect data outside of an active hiring intent.
• Use the Service to discriminate against candidates on the basis of race, religion, sex, gender identity, sexual orientation, disability, age, national origin, or any other protected characteristic.
• Post interview questions, answer keys, evaluation rubrics or other confidential Numuv artefacts publicly.
• Resell, sublicense, or provide the Service to third parties outside your organization without a separate written agreement.
• Use the Service to build or train a competing AI recruitment product.

10. Fees, taxes and refunds

Where the Service is provided on a paid basis (Mu Points, add-ons, subscriptions), you agree to pay all fees at the rates in effect at time of purchase. All fees are exclusive of applicable taxes, which you are responsible for paying. Except where required by law, all payments and Mu Points are non-refundable. Chargebacks or reversals may result in immediate account suspension.

11. Third-party services

The Service integrates with third-party providers (LLM vendors, email, SMS/WhatsApp, payment processors, storage, calendars). Your use of those integrations is subject to the third party's terms and privacy policies. Numuv is not responsible for third-party actions or outages.

12. Intellectual property

The Service, including all software, models, prompts, UI, brand assets, documentation, embeddings, and evaluations produced by Numuv, is owned by Numuv and its licensors and is protected by copyright, trademark, trade-secret and other laws. Except for the limited licence to use the Service granted in these Terms, no rights are transferred to you.

13. Feedback

If you send us feedback, feature requests or suggestions, you grant Numuv a perpetual, irrevocable, royalty-free, worldwide licence to use them without any obligation to you.

14. Confidentiality

Non-public information about the Service (including Mu Points pricing, unreleased features, LLM routing internals and screening rubrics) is Numuv's confidential information. You will not disclose it to third parties without our written consent.

15. Suspension and termination

Numuv may suspend or terminate your account, remove your content, or restrict certain features immediately if (a) you breach these Terms; (b) your use exposes Numuv or other users to legal, security or reputational risk; (c) your organization fails to pay for the Service; or (d) required by law. You may terminate at any time by deleting your account. Sections that by their nature should survive termination (fees owed, IP, confidentiality, disclaimers, limitations of liability, indemnity, dispute resolution) will survive.

16. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUMUV DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. NUMUV DOES NOT WARRANT THAT ANY AI OUTPUT IS ACCURATE, COMPLETE, UNBIASED OR SUITABLE FOR ANY PARTICULAR PURPOSE, INCLUDING HIRING OR EMPLOYMENT DECISIONS.

17. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUMUV AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, HIRES OR EMPLOYMENT OPPORTUNITIES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF NUMUV HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NUMUV'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO NUMUV IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) USD 100.

18. Indemnity

You agree to defend, indemnify and hold harmless Numuv and its affiliates from any third-party claim, demand or expense (including reasonable attorneys' fees) arising out of (a) your User Content; (b) your use of the Service; (c) your breach of these Terms or of any law; or (d) your infringement of any third-party right.

19. No employment relationship, no agency

Numuv is a technology platform, not an employer, staffing agency, recruiter of record, or fiduciary of any user. Numuv does not guarantee employment, interviews, offers, or any outcome. Any hiring relationship is exclusively between the candidate and the hiring organization.

20. Compliance with employment and equal-opportunity laws

Recruiters and staffing organizations are solely responsible for ensuring that their use of the Service complies with all applicable laws, including equal-employment-opportunity, anti-discrimination, data-protection, background-check and immigration laws in every jurisdiction where they operate.

21. Modifications to the Service or Terms

Numuv may modify the Service at any time and may revise these Terms with reasonable notice (posting on this page, in-app banner or email). Continued use after the effective date constitutes acceptance. If you disagree with a material change, your sole remedy is to stop using the Service.

22. Governing law and jurisdiction

These Terms are governed by the laws of the jurisdiction of Numuv's primary place of business, without regard to conflict-of-laws principles. Except where prohibited, all disputes shall be resolved exclusively in the courts of that jurisdiction, and you and Numuv consent to their personal jurisdiction.

23. Dispute resolution and class-action waiver

You and Numuv agree that any dispute will be resolved on an individual basis. To the maximum extent permitted by law, you waive any right to participate in a class action, class arbitration or representative action against Numuv. Nothing in this section limits either party's right to seek injunctive relief for infringement of intellectual property or breach of confidentiality.

24. Force majeure

Numuv is not liable for any delay or failure to perform caused by events beyond our reasonable control, including internet outages, LLM-provider outages, natural disasters, war, strikes, or government action.

25. Notices

Notices to Numuv must be sent to hello@numuv.app. Notices to you may be sent to the email address on your account or displayed in the Service.

26. Entire agreement, severability, waiver, assignment

These Terms, together with our Privacy Policy and any order form or paid-plan agreement, constitute the entire agreement between you and Numuv regarding the Service and supersede all prior discussions. If any provision is held unenforceable, the remainder will remain in effect. No waiver is effective unless in writing. You may not assign these Terms without our written consent; Numuv may assign freely.
